Leasing Agreement for the Purchase of Instrumental Tracks from Mastery Music Network
This Lease Agreement is entered into between Mastery Music Network and the purchaser for the leasing of instrumental tracks. By purchasing and downloading any instrumental track from Mastery Music Network, the Licensee agrees to abide by the terms and conditions outlined in this Agreement.
1. Grant of License:
Mastery Music Network grants the Licensee a non-exclusive, non-transferable license to use the purchased instrumental track for the purpose of creating a new musical composition. The Licensee may incorporate the Track into their Composition, including recording vocals and creating a final mixed version.
2. Usage Rights:
a. The Licensee may distribute and publicly perform the Composition created using the Track for commercial purposes, personal projects, or for promotional use on platforms like SoundCloud, YouTube, and social media.
b. The Licensee is not allowed to resell, sublicense, lease, or otherwise distribute the Track as a standalone product or part of a larger collection of tracks.
3. Ownership and Attribution:
a. The Licensee acknowledges that the ownership and copyright of the original instrumental Track remain the sole property of Mastery Music Network. The Licensee does not gain any rights to the original Track other than the rights explicitly granted in this Agreement.
b. The Licensee shall credit Mastery Music Network as the creator of the instrumental Track in any public display or distribution of the Composition. Proper attribution should be provided where applicable, including but not limited to track titles, video descriptions, and social media posts.
4. Royalties and Payments:
The Licensee acknowledges that no royalties or additional payments are owed to Mastery Music Network for the distribution and performance of the Composition. The initial purchase of the Track covers all fees associated with its use.
5. Modifications and Derivative Works:
The Licensee may modify the Track to fit the Composition’s needs, including adjusting tempo, pitch, and arrangement. However, the Licensee may not create derivative works of the Track that would allow them to reuse the original Track as a standalone product.
6. Termination:
This Agreement is effective upon the purchase of the Track and will remain in effect unless terminated by either party. Mastery Music Network reserves the right to terminate the Licensee’s rights if they breach any of the terms outlined in this Agreement.
7. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles.
8. Entire Agreement:
This Agreement constitutes the entire agreement between the parties regarding the licensing of the Track and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.
By purchasing and downloading the instrumental Track from Mastery Music Network, the Licensee acknowledges that they have read, understood, and agreed to the terms and conditions of this Agreement.
